1.1. Agreement to Terms

These Terms and Conditions (“Terms”) govern the relationship between you (“you,” “your,” or “User”) and Liminis LTD, a company incorporated under the laws of the Republic of Cyprus, with its registered office at Kolonakiou, 29, 1st floor, Agios Athanasios, 4103, Limassol, Cyprus (“Focusence,” “we,” “us,” or “our”), regarding your use of our website, mobile applications, and any associated services (collectively, the "Service"), including all text, graphics, videos, music, software, and other content made available through the Service (collectively, the "Content").

The actual identities and photographs of professionals on the platform are concealed to uphold privacy and confidentiality.

You acknowledge and agree that:

  • • The Service is offered with the understanding that Focusence shall not be liable for any physical, mental, emotional, or financial outcome related to your use of the Service;

  • Any actions taken or decisions made based on the Service are solely your own, and you are solely responsible for the outcomes of those actions and decisions.

  • Focusence disclaims all liability for the content or actions of third-party providers, services, or platforms that may be accessed through links or integrations within the Service;

  • We shall not be liable for any damages, including but not limited to direct, indirect, incidental, special, consequential, punitive, or exemplary damages, that arise out of or in connection with your use or inability to use the Service, even if we have been advised of the possibility of such damages.

You are encouraged to verify all content through independent professional sources before acting on it.

3. Account Registration

3.1. Account Creation

To access certain features of the Service, you may be required to register for an account (“Account”) and provide certain information about yourself. You agree to provide accurate, current, and complete information as prompted by the registration process and to update such information to maintain its accuracy.

3.2. Eligibility and Responsibility

By creating an Account, you represent and warrant that:

  • (i) You are of legal age to enter into a binding agreement (at least 18 years old).
  • (ii) If you are under 18 but at least 16, you have obtained express consent of your parent or legal guardian.
  • (iii) You are not prohibited from using the Service under any applicable law or regulation.

You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities under your Account. If you suspect any unauthorized use of your Account, you must notify us immediately.

Focusence will not be liable for any loss or damage arising from your failure to protect your Account credentials or comply with these responsibilities.

3.4. Termination of the Account by the Company

The Company reserves the right to suspend or terminate your Account or access to the Service, with or without notice, if you breach these Terms.

3.5. Suspension and Termination

We reserve the right, at our sole discretion, to suspend or terminate your Account or access to the Service at any time, with or without notice, if we believe you have violated these Terms or applicable law.

4. Use of the Service

4.1. Permitted Use

The Service is provided solely for personal, non-commercial use unless explicitly authorized otherwise by Focusence in writing. Any unauthorized use is strictly prohibited.

4.2. Service Availability and Modifications

We reserve the right to modify, update, restrict, suspend, or discontinue the Service or any portion thereof at any time without prior notice or liability. We do not guarantee the Service will be available at all times or at any specific time.

4.3. User Responsibility

You are solely responsible for ensuring that your devices and internet connection are compatible with the Service and for any data or communication charges incurred in connection with your use of the Service.

4.4. Service Limitations

Focusence shall not be liable for any loss, damage, or disruption of access to the Service due to maintenance, updates, system failures, internet outages, or other interruptions.

5. Intellectual Property and User Content

5.1. Ownership of Content

All content made available through the Service, including but not limited to text, graphics, designs, logos, software, audio, and video materials, is the property of Focusence or its licensors and is protected by intellectual property laws.

5.2. Limited License

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your personal use only. You may not use, copy, reproduce, modify, distribute, display, publish, license, or create derivative works from any part of the Service except as expressly authorized.

5.3. User Content

You retain ownership of content you submit or upload to the Service ("User Content"). By submitting User Content, you grant Focusence a non-exclusive, worldwide, royalty-free, transferable, and irrevocable license to use, store, display, publish, reproduce, and adapt such content as necessary to provide and improve the Service.

5.4. Responsibility for User Content

You represent and warrant that:

  • (i) You own or control all rights to the User Content;
  • (ii) Your User Content does not infringe on the rights of any third party;
  • (iii) You are solely responsible for the content you post and the consequences thereof.

Focusence does not endorse or assume responsibility for any User Content and reserves the right to remove or block access to any User Content that violates these Terms or applicable law.

6. Payments and Refunds

6.1. Paid Services

Certain features of the Service may be offered for a fee. By selecting such features, you agree to pay all applicable charges in accordance with the payment terms in effect at the time of your purchase.

6.2. Billing and Renewals

If you purchase a subscription, it will automatically renew at the end of the term unless cancelled before renewal. You authorize us to charge your chosen payment method for recurring charges.

6.3. Trial Periods

Trial offers may convert into paid subscriptions unless cancelled before the end of the trial. Focusence reserves the right to limit eligibility and modify or cancel trials at any time.

6.4. Refunds

Unless otherwise required by applicable law, all purchases are final and non-refundable. Refund requests will be considered only at our sole discretion.

6.5. EU Consumer Rights

If you are located in the European Economic Area (EEA), you may have a legal right to withdraw from purchases within 14 days of entering into a contract. You waive this right if you access digital content during that period.

7. Prohibited Conduct

You agree not to:

  • Use the Service for unlawful or unauthorized purposes;
  • Post, upload, or distribute any harmful, infringing, or abusive content;
  • Circumvent or interfere with security features of the Service;
  • Reverse-engineer, decompile, or tamper with the Service;
  • Use the Service to send unsolicited or commercial messages;
  • Impersonate others or misrepresent your affiliation with any entity.

Violation of these rules may result in suspension or termination of your access to the Service.

8. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis. We disclaim all warranties, express or implied, including:

  • Merchantability;
  • Fitness for a particular purpose;
  • Non-infringement;
  • Reliability, availability, or accuracy.

We do not guarantee that the Service will be error-free, uninterrupted, or secure, or that defects will be corrected.

9. Limitation of Liability

To the maximum extent permitted by law, Focusence shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages;
  • Any loss of profits, data, or business opportunities;
  • Any damages resulting from unauthorized access to or use of your data or the Service.

In any case, our total liability to you shall not exceed the amount paid by you to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Focusence, its affiliates, and their respective directors, officers, employees, and agents from and against all claims, losses, liabilities, damages, and costs arising from:

  • Your use or misuse of the Service;
  • Your User Content;
  • Your breach of these Terms or violation of any law.

11. International Use

Access to the Service may not be legal in all jurisdictions. Users are responsible for compliance with local laws. Accessing the Service from jurisdictions where it is prohibited is done at your own risk.

12. Dispute Resolution and Arbitration

All disputes arising out of or relating to these Terms or the Service shall be resolved through final and binding arbitration under the rules of a recognized arbitration institution in the Republic of Cyprus.

You waive any right to bring claims in a court of law or to participate in class actions. Arbitration will be conducted in English.

13. Governing Law

These Terms are governed by the laws of the Republic of Cyprus without regard to conflict of law provisions. You consent to the exclusive jurisdiction and venue of courts in Cyprus.

14. Miscellaneous

  • These Terms, together with our Privacy Policy and any other legal notices, constitute the entire agreement between you and Focusence.
  • If any provision of these Terms is held invalid, the remaining provisions will continue in full force.
  • Our failure to enforce any right under these Terms shall not be deemed a waiver.
